CORE CALL LTD TERMS & CONDITIONS Last Updated: 19 June 2026 ACCEPTANCE OF TERMS These Terms & Conditions govern your access to and use of the Core Call website, client portal, software platform and related services operated by Core Call Ltd (“Core Call”, “we”, “our”, “us”). By accessing our website, client portal or services, you agree to be bound by these Terms & Conditions. If you do not agree, you must not use our services. Core Call may amend these Terms from time to time. Updated versions will be published on the website and become effective immediately unless otherwise stated. ABOUT CORE CALL Core Call provides a cloud-based facilities management and emergency call handling platform. Services may include: • AI-powered call answering • Call recording and transcription • Fault reporting and incident creation • Engineer dispatch and allocation • Customer notifications • SMS and email communications • Client portal access • Site management tools • Engineer management tools • Job tracking and status updates • Reporting and analytics dashboards • Integration with third-party communication and software providers Core Call reserves the right to modify, improve, suspend or discontinue any feature or service at any time. CLIENT PORTAL ACCESS Where client portal access is provided, customers are responsible for: • Maintaining the confidentiality of usernames and passwords • Restricting access to authorised personnel only • Ensuring account information remains accurate • Promptly notifying Core Call of unauthorised access or suspected security incidents Core Call reserves the right to suspend access where misuse, security concerns or breaches of these Terms are identified. CUSTOMER RESPONSIBILITIES Customers are responsible for: • Maintaining accurate site information • Maintaining accurate engineer information • Maintaining accurate contact details • Ensuring information entered into the platform is correct • Complying with applicable laws and regulations Core Call shall not be responsible for delays, failures or incorrect dispatches resulting from inaccurate customer data. AI PROCESSING Core Call uses artificial intelligence technologies to support call handling, transcription, fault classification and operational workflows. Customers acknowledge and agree that: • Calls may be analysed using AI systems • Transcripts may be generated automatically • AI-generated outputs may occasionally contain errors • Customers remain responsible for reviewing critical operational information Core Call does not guarantee the accuracy, completeness or suitability of AI-generated content and such content should not be relied upon as the sole basis for operational, commercial or safety-critical decisions. CALL RECORDING Calls handled through Core Call may be recorded, stored, transcribed and processed for: • Service delivery • Quality assurance • Training • Incident verification • Legal and regulatory compliance Customers are responsible for ensuring callers are informed of call recording where required by law. ENGINEER DISPATCH SERVICES Core Call provides communication, dispatch and workflow management services. Core Call does not perform engineering, maintenance or repair work. Core Call shall not be responsible for: • The quality of engineering work • The actions of engineers • Service delivery by third parties • Site attendance performance • Repair outcomes Responsibility for engineering services remains with the relevant contractor, engineer or service provider. EMERGENCY SERVICES DISCLAIMER Core Call is not an emergency service. The platform must not be relied upon as a substitute for contacting emergency services where there is an immediate risk to life, health, safety or property. In genuine emergencies, users should contact the appropriate emergency services directly. THIRD-PARTY PROVIDERS Core Call may use third-party service providers to deliver services including: • Twilio • OpenAI • Supabase • Email and messaging providers • Cloud hosting providers Such providers may process information on behalf of Core Call. Core Call is not responsible for outages or failures caused by third-party providers outside of its reasonable control. ACCEPTABLE USE Users must not: • Attempt unauthorised access to systems • Interfere with platform operations • Upload malicious software • Reverse engineer software • Use the platform unlawfully • Circumvent security controls Core Call may suspend or terminate access where misuse is identified. INTELLECTUAL PROPERTY All intellectual property rights in the Core Call platform, software, branding, content, reports, documentation and website remain the property of Core Call Ltd or its licensors. No rights are transferred except for the limited right to use the services in accordance with these Terms. ACCOUNT SECURITY Customers are responsible for maintaining the security of their login credentials and for all activity conducted through their accounts. Customers must notify Core Call immediately if they become aware of any unauthorised access, compromise or misuse of an account. SUBSCRIPTIONS, FEES AND PAYMENT Core Call may offer: • Monthly subscriptions • Quarterly subscriptions • Six-month subscriptions • Annual subscriptions Customers agree to pay all fees due under their selected subscription plan. Core Call reserves the right to suspend or restrict services where payments remain outstanding. SERVICE AVAILABILITY Core Call will use reasonable efforts to maintain platform availability. However, Core Call does not guarantee uninterrupted service availability. Services may be affected by: • Maintenance • Security updates • Network failures • Third-party outages • Circumstances outside Core Call’s control DISCLAIMER OF WARRANTIES The website, platform and services are provided on an “as available” and “as is” basis. To the fullest extent permitted by law, Core Call disclaims all warranties whether express or implied. Core Call does not guarantee that services will be uninterrupted, secure, error-free or suitable for every purpose. LIMITATION OF LIABILITY To the fullest extent permitted by law, Core Call shall not be liable for: • Indirect losses • Consequential losses • Loss of profits • Loss of revenue • Loss of goodwill • Loss of business opportunities • Loss of data Core Call’s total liability shall not exceed the fees paid by the customer during the previous twelve months. Nothing in these Terms excludes liability where exclusion would be unlawful. FORCE MAJEURE Core Call shall not be liable for failure or delay in performance caused by circumstances beyond its reasonable control including: • Internet failures • Telecommunications failures • Cloud service outages • Industrial disputes • Natural disasters • Government actions • Cyber incidents PRIVACY AND DATA PROTECTION Use of the platform is also governed by: • Core Call Privacy Policy • Core Call Data Processing Agreement • Core Call Cookie Policy NOTICES Any notice required under these Terms may be provided by email to the contact details supplied by either party unless otherwise required by law. TERMINATION Core Call may suspend or terminate access where: • These Terms are breached • Fees remain unpaid • Unauthorised activity is detected • Continued access creates security or legal risks GOVERNING LAW These Terms shall be governed by the laws of England and Wales. Any dispute arising from these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.
